Terms of Service

Last updated: 24 October 2026

Welcome to digiaxo. These Terms of Service govern your access to and use of our website and the services we provide. By accessing our website or engaging our services, you agree to these terms. If you do not agree, please discontinue use of our website.

1. About digiaxo

digiaxo provides digital services that may include website design and development, WordPress development, search engine optimisation (SEO), branding, digital marketing, website hosting, integrations, and related consultancy.

The specific services, deliverables, timelines, fees, and responsibilities for an individual project will be agreed separately in a proposal, quotation, statement of work, contract, or other written agreement.

2. Use of Our Website

You agree to use our website lawfully and responsibly. You must not:

  • Use the website for unlawful, fraudulent, or misleading purposes.
  • Attempt to gain unauthorised access to our website, systems, or data.
  • Introduce malicious code, malware, or other harmful material.
  • Interfere with the website’s security, availability, or normal operation.
  • Copy, misuse, or reproduce website content in a way that infringes applicable rights.

We may restrict access to our website where reasonably necessary to protect its security, integrity, or operation.

3. Enquiries and Communications

When you contact us through a form, email, or another communication channel, you agree to provide accurate information.

Submitting an enquiry does not automatically create a client relationship, confirm project availability, or constitute acceptance of a proposal. A project begins when the relevant scope, fees, responsibilities, and other applicable terms have been agreed.

We may use the contact information you provide to respond to your enquiry and communicate with you about the requested services, subject to our Privacy Policy and applicable law.

4. Services and Project Agreements

Each project may have different requirements, deliverables, and working arrangements. Before work begins, the relevant details should be documented and agreed by both parties.

Depending on the project, this may include:

  • Project scope and deliverables.
  • Fees, payment schedules, and applicable taxes.
  • Estimated timelines and milestones.
  • Client responsibilities and required materials.
  • Revisions, approvals, and change requests.
  • Ownership, licensing, and handover arrangements.
  • Ongoing maintenance, support, or hosting arrangements.

Any project-specific agreement takes precedence over these general terms to the extent of a conflict, unless otherwise stated in that agreement.

5. Client Responsibilities

Clients are responsible for providing accurate information, content, credentials, approvals, and other materials reasonably required to complete their projects.

You must ensure that you have the necessary rights and permissions to use any text, images, logos, software, data, or other materials supplied to us.

Delays in receiving required materials, access, feedback, or approvals may affect project timelines and delivery dates. Additional work outside the agreed scope may require a revised quotation or written approval.

Clients should not share passwords or sensitive credentials through unsecured communication channels where a safer method is available.

6. Fees and Payments

Fees, payment terms, deposits, milestone payments, and applicable taxes will be specified in the relevant proposal, quotation, invoice, or project agreement.

Unless otherwise agreed in writing, payment is due according to the stated invoice terms.

Additional work, scope changes, third-party services, licences, hosting fees, advertising costs, and other expenses may incur separate charges where agreed.

Any cancellation, refund, or payment-dispute arrangements will be governed by the applicable project agreement and relevant law. Nothing in these terms removes any rights that cannot legally be excluded.

7. Revisions, Changes, and Delivery

Project revisions and included changes will be determined by the agreed scope or project agreement.

Requests that materially change the approved scope, functionality, design, integrations, or deliverables may require additional fees and revised timelines.

We will make reasonable efforts to deliver the agreed work within the estimated schedule. Delivery dates may depend on timely client feedback, third-party services, access to required systems, and other factors outside our reasonable control.

8. Intellectual Property

Unless otherwise agreed in writing, digiaxo retains ownership of its pre-existing materials, methods, reusable components, tools, templates, and know-how.

Ownership or licensing of project-specific deliverables will be determined by the applicable project agreement. Where a transfer of ownership is agreed, it may be subject to full payment and any stated conditions.

Third-party software, themes, plugins, fonts, stock images, and other licensed materials remain subject to their respective licence terms. We cannot transfer rights that we do not own.

You retain ownership of materials you provide to us and grant us any permissions reasonably necessary to perform the agreed services.

9. Third-Party Services and Integrations

Our work may involve third-party platforms, software, hosting providers, payment processors, plugins, APIs, analytics tools, or marketing services.

These services are generally governed by their own terms, licences, privacy policies, availability, and technical limitations. Unless expressly agreed otherwise, digiaxo does not control third-party services and cannot guarantee their uninterrupted availability, future compatibility, or continued operation.

Additional subscriptions, licences, usage charges, and renewals may be payable by the client.

10. SEO, Performance, and Marketing Results

We may provide SEO, website optimisation, digital marketing, or related services intended to improve website performance, search visibility, usability, or other business objectives.

Results may depend on factors beyond our control, including search engine algorithms, competition, hosting infrastructure, third-party platforms, client implementation, and market conditions.

Unless a specific outcome is expressly guaranteed in a signed written agreement, we do not guarantee particular search rankings, traffic levels, lead volumes, conversion rates, revenue, or performance scores.

11. Hosting, Maintenance, and Support

Hosting, maintenance, security monitoring, backups, updates, and ongoing support are included only where specified in the relevant service agreement or proposal.

Where these services are provided, their scope, response arrangements, exclusions, and fees will be governed by the applicable agreement.

Clients remain responsible for maintaining appropriate access controls and following any agreed security or backup recommendations. No website or hosting environment can be guaranteed to be completely secure or uninterrupted.

12. Confidentiality and Data Protection

Both parties should take reasonable steps to protect confidential information shared in connection with a project.

We handle personal information in accordance with our Privacy Policy and applicable data protection laws. Where a project involves access to personal data or confidential systems, additional contractual safeguards may be agreed where appropriate.

You should not provide personal or confidential information unless it is reasonably necessary for the services being requested.

13. Warranties and Disclaimers

We will use reasonable care and skill when providing our services, subject to the applicable project agreement and law.

Our website and its general content are provided for informational purposes. We make reasonable efforts to keep information accurate and current but do not guarantee that all content will always be complete, accurate, or available.

Except where expressly stated in a written agreement or required by law, we do not make additional warranties regarding uninterrupted access, error-free operation, compatibility with every third-party system, or particular business outcomes.

14. Limitation of Liability

To the extent permitted by applicable law, digiaxo will not be liable for indirect, incidental, special, or consequential losses, including loss of profits, business opportunities, anticipated savings, or data arising from the use of our website or services.

Any liability directly arising from a specific project will be subject to the applicable project agreement and relevant law.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any rights or remedies that cannot legally be waived.

15. Suspension and Termination

Either party may terminate a project or service in accordance with the relevant project agreement.

We may suspend access to our website or discontinue a service where reasonably necessary due to security risks, unlawful activity, material breach of applicable terms, or circumstances beyond our reasonable control.

Any outstanding payment obligations, agreed termination charges, intellectual property provisions, confidentiality obligations, and other terms intended to continue after termination will remain subject to the applicable agreement and law.

16. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our website, services, business practices, or legal obligations.

Updates will be published on this page with a revised “Last updated” date. Your continued use of the website after updated terms are published constitutes acceptance only to the extent permitted by applicable law. Material changes to an existing project agreement will be handled according to that agreement.

17. Governing Law

These terms are subject to the laws applicable to the relevant agreement and parties. Where a governing law and jurisdiction have been specified in a signed project agreement, that agreement will apply.

For website use where no separate agreement applies, the governing law and jurisdiction should be confirmed by digiaxo and stated here before publication.
